The Brinks Company is looking for a Senior Paralegal and Corporate Governance Specialist to provide legal support on corporate governance and securities matters and serve as the liaison to the Board of Directors. This position works closely with Brink’s General Counsel and Assistant General Counsel and Corporate Secretary.


The Senior Paralegal and Corporate Governance Specialist will be responsible for providing legal research and services on corporate governance and securities matters, including compliance with federal securities laws, New York Stock Exchange listing standards and Virginia corporate law.  Coordinates all aspects of Board of Directors and annual shareholder meetings, including meeting agendas and distribution of materials as well as logistical and administrative arrangements.  Prepares written consents, resolutions, certifications and other corporate documentation as needed under attorney supervision. Assists with New York Stock Exchange and Securities and Exchange Commission filings, including Forms 8-K, 10-Q, 10-K, proxy statements and Section 16 filings. Assists with matters related to the Company’s independent auditor, executive and director compensation, and stock plan administration. Assists with administration of charitable giving program.  Assists with special projects as directed by the General Counsel or Assistant General Counsel.

Job Requirements

Minimum Qualifications:
• Minimum 3 years of paralegal or other relevant corporate and securities law experience; in-house experience preferred
• Ability to balance multiple tasks and effectively prioritize workload in a fast-paced environment
• High level of diplomacy and tact, ensuring confidentiality of information when required
• Excellent written and verbal communication skills
• Self-motivated, determined, and able to work under own initiative
• Excellent organizational skills and attention to detail
• Strong computer skills, including Microsoft Word, Excel, and PowerPoint as well as secure board portals (experience with Diligent Boardbooks a plus)
• Collaborative style with excellent interpersonal skills.
• Bachelor’s degree
• Experience with Boards of Directors a plus
• Paralegal certificate preferred
